Name of the Post: Assistant Manager (Legal)
Location: New Delhi
Essential Qualification and Experience
· Bachelor of Law (LL.B.)/ Equivalent degree (Integrated Law 5 year Course) from a BCI approved Institution affiliated to UGC recognized University/ Deemed University with 5+ years of relevant experience including minimum 3 years litigation practice of law.
· Knowledge of various relevant statutes, Government policies, regulations and directives, indirect taxation and company policies and guidelines.
· Excellent knowledge of all legal aspects relating to Corporate laws, Labor Laws, IP Laws, Data Privacy, IT Law and relevant Civil and Criminal Laws.
· Abreast with the practice and procedures of Civil and Criminal Courts across judicial hierarchy.
· Proficiency in drafting of litigation replies, Counter Affidavits and related documents.
· Proficiency in drafting of legal documents, Memorandum of Settlements, Memorandum of Understanding, Contracts, Power of Attorneys etc.
· Language proficiency in written and Spoken English and Hindi.
Roles & Responsibilities
Strategy Design and Implementation
· To provide inputs in the design of legal policies, guidelines, controls and checkpoints etc and ensure implementation of the same.
· Assist in planning the budget of the Legal Department during the internal budgeting exercise; Ensure adherence to the same.
· Implement risk mitigation plans to combat key legal risks to the organization.
· Keep abreast of changes in relevant laws, rules, regulations, etc and advise the next higher authority on their implications.
Managing Relations with External Agencies
· Support in identifying External lawyers, Advisors, Government Agencies, Regulating Bodies etc. to facilitate timely resolution of Legal matters/disputes.
· Create the legal briefing to be provided to the Govt. empaneled St. Counsels and Sr. St. Counsels for representing GSTN during hearings to coordinate and ensure the filing of petitions, response affidavits etc. in courts.
· To coordinate with State and Central tax authorities and governing bodies to ensure appropriate representation of GSTN before Judicial authorities.
Legal – Operations
· Draft legal documents such as Contracts, Power of Attorneys, Agreements, etc. for GSTN in a timely accurate manner.
· Ensure timely provision of all supporting documents as may be required by external Legal Counsels/Firms from time to time; coordinate with relevant internal Departments to collect relevant documents/proofs.
· Coordinate with external Legal Counsels/Firms to draft response affidavits to be filed in Courts on behalf of the Company.
· Respond in a timely manner to legal notices and Writ Petitions received from Courts, / queries received from other Internal Departments.
· Assist in creation of a central repository and responsible for safe custody of all original agreements, MOU's, contracts, major court orders, commencement of business, approvals and all regulatory filings/reports.
· Design the legal guidelines/ terms & conditions for the RFPs for selection of Vendors/ Consultants and internal SOP's.
· Minimize legal risks and cost escalations for the Organization due to errors in legal compliance related issues.
· Monitor various legal compliance requirements on a periodic basis and adhere to the same; Escalate the compliance issues (if any) in a timely manner.
· Maintain documentation pertinent to all the litigations.
· Maintain and update the Litigation and IPR MIS and assist in the weekly/fortnightly/monthly review.
· Maintain, update and assist in protecting the IPR Portfolio of the Company by way of ensuring timely renewals, evergreening applications before the IP authorities.
· Assist in ensuring the Data Privacy adherence and compliance of concerned laws by the company
People Development
· To assist in conduct of formal performance appraisal and provide developmental feedback for own team.
· To assist in Identifying training needs of the team and provide functional training inputs through internal and external sources.
Others
· Ensure timely preparation of litigation and IPR MIS and Status Updates for circulation to the Top Management and other authorities as may be required.
· To provide legal research reports on issues as directed.
