About the GNLU Centre for Business & Public Policy

GNLU Centre for Business & Public Policy [“GCBPP”] is one of the centres for excellence established under the Gujarat National Law University [“GNLU”], promoting interdisciplinary research and training through capacity-building programmes, interactive sessions and conferences in capital markets, securities laws, financial & business regulations and public policy.

About the Course

The second edition of the Advanced Certificate Programme on Capital Markets & Securities Laws [“Course”] is being jointly offered in partnership with Khaitan & Co. The course has been curated by Mr Aditya Cheriyan and Mr Oishik Bagchi, Partners, Khaitan & Co. This edition of the Course will be held from December 2023 to January 2024, comprising two phases: online and offline, with a total teaching duration of over 50 hours (with 24+ hours of offline training at the GNLU campus in Gandhinagar). The Course aims to develop a strong foundational understanding of capital markets and securities laws. Participants will have the opportunity to learn about the practical aspects of capital markets practice in a law firm.

The previous edition of the Course was successfully held from December 2022 to January 2023, in which 60 students across various universities participated.

The Course shall primarily cover the following:

  • Relevant provisions of the Companies Act, 2013 and rules made thereunder, including Chapter III 
  • Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018
  • Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015
  • Securities and Exchange Board of India (Issue and Listing of Non-Convertible Securities) Regulations, 2021
  • Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 2011
  • Securities and Exchange Board of India (Prohibition of Insider Trading) Regulations,2015
  • Relevant provisions and concepts under the United States Securities Act of 1933
  • Relevant provisions of the Securities Contracts (Regulation) Act, 1956 and the SecuritiesContracts (Regulation) Rules, 1957
  • Relevant provisions of the Foreign Exchange Management Act, 1999, and rules made thereunder
  • Dispute resolution under securities laws
  • Basics of valuation
  • How to read financial statements
  • Understanding the basics of corporate M&A, Private Equity and Angel Investments
  • IFSCA: Regulatory framework and capital market offerings at GIFT IFSC

Course Duration

  • 50+ hours of total teaching duration
  •  24+ hours of classroom training at the GNLU campus, Gandhinagar
  •  The online session will commence on December 02, 2023 (sessions will be on weekends)
  •  The offline sessions will be from January 26 to January 30, 2024, at the GNLU campus in Gandhinagar

Evaluation

Evaluation would be based on (i) active participation and interaction during the sessions; and (ii) written assessment involving: (a) application-based problem solving; (b) drafting exercise; and (c) an examination based on course curriculum. A minimum of 80% attendance is mandatory for obtaining the course certificate, credit score and internship opportunity with Khaitan & Co.

Internship Opportunity

Top performing eligible candidates shall get an internship opportunity at Khaitan & Co with their Capital Markets team. Such internship shall be subject to the internal rules and processes followed by Khaitan & Co.

Eligible Participants

  • Undergraduate students from 3rd/4th /5th years (in case of a 5-year LL.B. programme) and 2nd/3rd years (in case of a 3-year LL.B. programme) from any recognized university
  • Students pursuing Masters in Law (LL.M.)
  • Post-graduate students of business management & administration

  • Leading Capital Market Lawyers
  • Experts from the Regulators (like SEBI and IFSCA)
  • Academicians from GNLU and other leading universities
  • Investment Bankers and Financial Auditors

Admission

  • Total number of seats: 65
  • Selection is strictly based on the review of Resume and Statement of Purpose
  • Fees: Rs. 15,000 inclusive of GST to be paid to GNLU

Scholarship and Fee Waiver

  • Khaitan & Co shall offer a scholarship of Rs. 15,000 each to the top 5 performing candidates, based on the evaluation set forth above
