Essential Qualification and Experience

· Qualified Company Secretary (CS) – mandatory and degree in LL.B. is mandatory.

· Candidate should have 5 - 7 years of experience in corporate legal, compliance, or secretarial roles.

· Prior law firm experience or in house experience in healthcare, e-commerce, pharmaceuticals, or other regulated sectors preferred.

· Ease of understanding working with the legal tools including CLM, AI and other automations.

· Excellent communication, drafting, presenting and stakeholder management skills.

· Self-driven and with ability to identify and work on tasks

· Ability to multitask and work in a fast-paced, high-growth environment.

· Very good soft skills and teamwork are a must have

Roles & Responsibilities

Legal works

· Advise on all applicable laws including the company laws, FDI laws, financing regulations, IT laws and regulations, consumer protection laws, contract laws, FDI laws and e-commerce rules.

· Conduct periodic legal risk assessments and implement mitigation strategies.

· Active support to develop, review, and implement internal legal policies, SOPs, and compliance frameworks.

· Draft, review, negotiate, and finalize commercial agreements /contracts including SHA/SPA, financing agreements, vendor agreements, NDAs, service contracts, corporate tie up agreements, technology contracts, etc.

· Provide ongoing legal guidance to business teams on regulatory and statutory matters.

Company Secretarial

· Act as the Designated Company Secretary for one of the Tata 1mg legal entity manage all secretarial responsibilities including:

· Managing the existing Company Secretary of the other Tata 1mg legal entity.

· Scheduling and conducting board and committee meetings

· Drafting minutes, resolutions and agendas

· Ensuring compliance with statutory filings, secretarial standards, and record maintenance

· Handle timely filings with MCA, ROC, RBI and other regulatory authorities.

· Support corporate governance initiatives and ensure best applicable governance practices are followed.

· Revisit all existing secretariat practices and draft/present plan to better organize and improve the ongoing secretarial practices.

· Embrace technology for ease of compliance and automating routine work.

· Coordination with the Holding Company`s secretarial team.

· Managing investor-related compliances as defined under the SHA and other charter documents.

· Liaise with internal teams to ensure inter- company transactions are compliant with the relevant law.
