NCLT Kochi Orders Liquidation Of Malayalam Vehicles India Pvt Ltd After CoC Fails To Receive Any Resolution Plan

The National Company Law Tribunal (NCLT), Kochi Bench, has ordered the liquidation of Malayalam Vehicles India Private Limited (a former Tata Motors passenger vehicle dealer) in furtherance to the resolution passed by the Committee of Creditors (CoC) to liquidate the corporate debtor. The bench comprising Judicial Member Vinay Goel and Technical Member Madhu Sinha observed that considering the decision taken by the COC of the Corporate Debtor, this Adjudicating Authority deems it fit to order liquidation of the Malayalam Vehicles India Private Limited. Malayalam Vehicles Pvt Ltd is a former Tata Motors passenger vehicle dealer. It lost its dealership before the commencement of the CIRP. The decision came in an application filed by P. Balasubramanian, the Resolution Professional of the vehicle company. The Corporate Insolvency Resolution Process (CIRP) of the Malayalam Vehicles India Pvt Ltd was initiated on April 4, 2025, in furtherance to a section 10 application filed by the vehicle company itself. After the CIRP decision, the CoC was formed, and two rounds of public invitations were made for Expression of Interest (EOI); still, no resolution plan was received. Thereafter, the CoC, with 89.07% voting share, resolved to liquidate the company and confirm the resolution professional as liquidator. Consequently, NCLT ordered the liquidation of the company, noting the CoC's decision and absence of any resolution plan. The resolution professional, P. Balasubramanian, was appointed as the liquidator, and he was directed to take custody of all assets, issue public notice under Section 33(1), and file the preliminary report within 75 days in accordance with Regulation 13 of the IBBI (Liquidation Process) Regulations, 2016. Lastly, the bench clarified that the present liquidation order would discharge directors and employees under Section 33(7) of the Code.
