AMS Legal has advised Arus Innovation Singapore PTE and its Indian subsidiary on a strategic corporate restructuring. The transaction, valued at approximately ₹1.2 crores, was designed to streamline the group's global operations and solidify its multinational standing.
AMS Legal played a pivotal role in identifying and implementing the exit mechanism for the group. Key highlights of the firm's involvement included:
* Determining a Share Purchase Agreement (SPA) as the most efficient route for the restructuring.
* Drafting the SPA and providing specialized advice on cross-border structuring.
* Ensuring total legal and regulatory compliance across jurisdictions.
* Overseeing the operational transition, including the transfer of employees to a new entity to maintain business continuity.
The mandate was led by Mr. Mukil (Partner) along with Ms. Carolyn Premnathan, and Ms. Francy Victor.
