    AMS Legal has advised Garuda Aerospace Limited on a series of domestic and cross-border commercial transactions, strategic partnerships, distribution arrangements, consulting engagements, and due diligence exercises aimed at supporting the drone company's business expansion and international growth initiatives.

    The mandates included the preparation of a Request for Proposal (RFP) for Garuda Aerospace's proposed Drone-as-a-Service (DaaS) Platform, a project valued at approximately ₹1 crore. The RFP was designed to onboard a technology partner for the development of an integrated platform to manage drone operations, vendor ecosystems, service requests, payments, compliance requirements, and stakeholder engagement across sectors such as agriculture, disaster management, and industrial surveillance.

    AMS Legal also advised on an International Channel Partner Agreement intended to facilitate Garuda Aerospace's global expansion through customer acquisition and onboarding by overseas channel partners while retaining control over pricing, order processing, payments, and deliveries.

    In another cross-border mandate, the firm advised on an exclusive reseller agreement between Garuda Aerospace and Fotokite US LLC, under which Garuda was appointed as the authorised reseller of Fotokite's tethered drone systems and associated products in India.

    The firm further assisted Garuda Aerospace in entering into a consulting agreement with California-based Black Legend Capital LLC for financial advisory, business development support, investor engagement, and strategic transaction evaluation.

    AMS Legal also advised on a distribution agreement with Redington Limited for the distribution of Garuda Aerospace products within India. The agreement addressed issues relating to inventory management, delivery obligations, pricing mechanisms, GST compliance, and indemnity provisions.

    Additionally, the firm acted on a collaboration agreement between Garuda Aerospace and Nigeria-based Proforce Airsystems. The collaboration envisages joint efforts in local production, deployment, marketing, and development of drone technologies tailored to local requirements in Nigeria.The mandates further included the drafting of an operations agreement governing the operation of a designated manufacturing unit within Garuda Aerospace's factory premises, with provisions relating to operational use, quality management, regulatory compliance, insurance, and intellectual property rights.

    Apart from transactional work, AMS Legal conducted due diligence exercises on prospective joint venture partners in Sri Lanka, Tanzania, and Cambodia to assess their legal status, regulatory compliance, operational capabilities, financial position, and suitability for collaboration in the drone technology sector.
