Kochhar & Co. has advised Tata Communications Limited (TCL) on a significant group restructuring. Besides India, the restructuring also involved TCL entities in Singapore, the United Kingdom, and the Netherlands.
The transaction was led by Kochhar & Co.'s Mumbai Senior Partner & Head, Rajarshi Chakrabarti, and Partner Sameena Jahangir, with support from Associate Aakash Karekar.
As Lead Counsel, Kochhar & Co. provided comprehensive advice to TCL on structuring the transaction in accordance with the Foreign Exchange Management Act, 1999; SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015; and the Companies Act, 2013, facilitating a simplified group structure in line with Indian law and supporting TCL's global lean strategy. The Firm also liaised with an international law firm to achieve the Closing in a time-bound manner.
