Happiest Minds Technologies, ITC Infotech Enter Merger Framework; Khaitan & Co Advises on Transaction

Khaitan & Co advised and assisted Ashok Soota and Happiest Minds Technologies Limited (HMTL) in connection with the sale of Soota's approximately 22% shareholding in HMTL to ITC Infotech India Limited, a subsidiary of ITC Limited, and the proposed merger of HMTL with ITC Infotech India Limited.
The transaction involves the sale of Soota's shareholding in HMTL and the parties entering into a merger framework agreement in relation to the proposed merger.
Khaitan & Co advised Soota and HMTL on the structuring, due diligence, negotiation and documentation relating to the proposed transaction.
