    To address this, National Law University, Delhi (NLU Delhi), through its Centre for Regulatory Studies (CRS), has partnered with Mentblue to launch a Certificate Course on Capital Market Transactions: Law & Practice (IPOs, QIPs, Rights & Hybrids), part of The Practice Series, a joint initiative designed to take participants through a capital markets transaction the way it is actually executed inside Tier 1 ECM teams.

    What Will You Learn?

    Module 1: Foundations & the IPO Landscape. Introduction to equity capital markets, key stakeholders and their roles, and the IPO roadmap and transaction timeline.

    Module 2: The Regulatory Framework. SEBI ICDR (eligibility, promoter contribution, lock-in and pricing), and the Companies Act, SCRA, LODR and continuous disclosure obligations.

    Module 3: Diligence & Financial Information. Legal due diligence and preparatory work, restated financials, the auditor's comfort process, and a mid-course assignment workshop.

    Module 4: Documentation & Execution. The offer document (anatomy, risk factors, misstatement liability), key transaction agreements and drafting essentials, marketing, book-building, pricing, anchor investors and allotment, and international offerings (Rule 144A, Regulation S, ADRs and GDRs).

    Module 5: Listing, Post-Listing & Other Instruments. Post-listing obligations and corporate governance, REITs and InvITs, QIPs, rights issues, preferential allotment and FPOs, a final assignment workshop, and a career roadmap session.
