    The course offers a practical introduction to the legal framework governing Mergers and Acquisitions (M&A) transactions. It is designed for law students, legal practitioners, in-house counsel, corporate professionals, startups, and finance enthusiasts, and aims to familiarize participants with the lifecycle of an M&A transaction - from deal structuring to due diligence and transaction documentation.

    Participants will gain insight into how acquisition and merger transactions are conceptualized, structured, negotiated, and documented in practice. Through practical illustrations, process-oriented discussions, and analysis of commonly used transaction documents, the course seeks to bridge the gap between theory and industry practice.

    Course Structure

    The broad areas covered over the course include:

    Company law nuances and the foundational principles behind M&A

    Company lifecycle and fundraising, and their relevance to M&A

    The M&A transaction process, timelines, and due diligence

    Key company documentation (AoA, MoA, filings)

    Transaction documentation, including term sheets, share purchase and shareholders' agreements

    Public M&A and the Takeover Code, including open offers and hostile takeovers

    Private equity fundamentals

    Competition law considerations in M&A, including the role of the Competition Commission of India

    About the Faculty

    The course will be led by Ashirbad Nayak, Senior Associate in the Public Policy team at Cyril Amarchand Mangaldas, where he advises leading domestic and international clients on technology law, financial law, and policy-related mandates. He previously worked with J. Sagar Associates in their General Corporate practice and as a Lecturer at Jindal Global University, where he taught courses on Mergers & Acquisitions and Securities Regulations.

    Ashirbad holds an LL.M. from the University of Cambridge (Commercial Law Specialization), which he pursued on a full scholarship, and a B.A. LL.B. (Hons.) from the National Law University Odisha, where he graduated as one of the top rank-holders of his batch with two gold medals for all-round performance and academic excellence. He writes regularly on technology and privacy-related issues, with publications in leading legal journals and national dailies.

    Certification, Access, and Fees
